CRA was retained by counsel for Respondent BMC Software, Inc. in an appraisal action in Delaware Chancery Court arising from its going private transaction. Petitioners claimed that the fair value of BMC’s shares exceeded the merger price. CRA Senior Consultant and Harvard Business School Professor Richard Ruback testified at trial on the fair value of BMC’s shares. The Court ruled in favor of Respondent, finding “the merger price to be the most persuasive indication of fair value available.”
